SHAIKH TRADES — TERMS OF SERVICE Version 8.0 Effective Date: June 2026 Operator: Yusuf Shaikh, Ontario, Canada Formerly known as: Shaikh Options These Terms of Service ("Terms" or "Agreement") govern access to and use of the Shaikh Trades membership service, website, Discord community, educational content, software tools, indicators, bots, and related materials (collectively, the "Service") operated by Yusuf Shaikh ("Operator," "we," "us," or "our") from Ontario, Canada. By purchasing a membership, creating an account, accessing the Service, or clicking to accept these Terms, you ("Subscriber," "Member," or "you") agree to be bound by this Agreement in its entirety. If you do not agree, do not purchase, access, or use the Service. 1. DEFINITIONS 1.1 "Agreement" means these Terms of Service, together with the Privacy Policy, Refund Policy, End User License Agreement (EULA), Risk Disclosure, and any other policies incorporated by reference. 1.2 "Content" means all text, video, audio, graphics, charts, trade examples, market commentary, documents, templates, indicators, bots, scripts, alerts, recordings, live sessions, and other materials made available through the Service. 1.3 "Discord" means the Discord platform and any associated servers, channels, roles, bots, or voice sessions operated by or on behalf of Shaikh Trades. 1.4 "Membership" or "Subscription" means a paid plan granting access to the Service for a defined billing period. 1.5 "Payment Processor" means Stripe or any successor payment provider used to process subscriptions and one-time payments. 1.6 "Subscriber" means any individual or entity that purchases, renews, or accesses a Membership. 1.7 "Service" means the Shaikh Trades educational membership platform and all associated digital offerings, including website access, Discord community access, recorded and live educational sessions, proprietary tools, and support channels. 1.8 "Founding Member" means a Subscriber who enrolled under a limited promotional pricing tier designated by the Operator at the time of purchase. 2. ACCEPTANCE OF TERMS 2.1 By completing a purchase, linking a Discord account, entering the community, downloading materials, or otherwise using the Service, you represent that you have read, understood, and agree to this Agreement. 2.2 If you accept on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that entity. 2.3 Your continued use of the Service after any update to these Terms constitutes acceptance of the revised Terms, except where prohibited by applicable law. 2.4 Electronic acceptance, click-wrap acceptance, and continued access after notice of updated Terms are valid and enforceable forms of agreement. 3. EDUCATION-ONLY SERVICE 3.1 Shaikh Trades is an educational membership service. The Service provides general information, commentary, examples, frameworks, and community discussion related to trading, market analysis, and options concepts. 3.2 Nothing in the Service is financial advice, investment advice, securities advice, or options advice. 3.3 Content is provided for informational and educational purposes only. It is not tailored to your financial situation, objectives, risk tolerance, tax position, or legal circumstances. 3.4 The Service does not include personalized portfolio management, trade execution on your behalf, account supervision, suitability analysis, or individualized recommendations. 4. NO ADVISORY RELATIONSHIP 4.1 No advisory, fiduciary, broker-dealer, investment adviser, portfolio manager, or agent relationship is created between you and Shaikh Trades, Yusuf Shaikh, or any affiliate, moderator, or community member. 4.2 We do not owe you a duty of care associated with regulated financial advice. You must consult licensed professionals for advice specific to your circumstances. 4.3 Any examples, opinions, or discussions in the Service reflect educational perspectives and do not constitute instructions for you to enter, exit, or hold any position. 4.4 References to specific securities, options, strategies, or instruments are illustrative only and are not solicitations or recommendations. 5. INDEPENDENT TRADING 5.1 The Subscriber makes all trading decisions independently. 5.2 You are solely responsible for evaluating any information received through the Service and for determining whether any trading activity is appropriate for you. 5.3 You acknowledge that you maintain full control over your brokerage accounts, order entry, position sizing, risk management, and compliance with applicable laws and broker rules. 5.4 Shaikh Trades does not place trades, manage capital, approve transactions, or monitor your account activity. 6. OPTIONS AND TRADING RISK 6.1 Trading securities, options, futures, and other derivatives involves substantial risk of loss and is not suitable for every person. 6.2 Options can expire worthless and may cause loss of the entire premium paid. 6.3 Leverage, assignment, early exercise, gap risk, liquidity constraints, volatility changes, and market events can result in losses exceeding your initial investment in certain instruments or strategies. 6.4 You represent that you understand these risks and that you are financially and emotionally prepared to bear the full consequences of your trading decisions. 6.5 You agree not to use the Service unless you are capable of independently assessing risk and accepting full responsibility for outcomes. 7. PAST PERFORMANCE DISCLAIMER 7.1 Past performance, historical examples, backtests, paper trades, simulated results, screenshots, and member-reported outcomes do not guarantee future results. 7.2 No representation is made that any account will or is likely to achieve profits or losses similar to those shown or discussed. 7.3 Hypothetical or illustrative performance has inherent limitations and may not reflect actual trading conditions, slippage, fees, liquidity, psychology, or execution quality. 7.4 You should not infer that any strategy discussed in the Service will be profitable in the future. 8. PAYMENT TERMS 8.1 Membership fees are displayed at checkout and may vary by plan, promotion, or billing interval. 8.2 By subscribing, you authorize the Payment Processor to charge your selected payment method on a recurring basis until you cancel in accordance with this Agreement. 8.3 You are responsible for maintaining valid payment information and for all charges incurred under your account. 8.4 Failed payments may result in suspension or termination of access until the account is brought current. 8.5 Prices may change for renewals or new purchases, but changes will not retroactively alter fees already paid for an active billing period unless expressly stated at checkout. 9. NO REFUNDS 9.1 All sales are final once payment is made and access is granted. Cancellation stops future billing only. 9.2 Because the Service delivers immediate digital access, no refunds, partial refunds, prorated credits, or billing extensions are provided for dissatisfaction, non-use, forgotten cancellation, trading losses, or change of mind. 9.3 Refund Policy details are incorporated by reference. Where required by non-waivable consumer protection law, mandatory rights apply only to the minimum extent required. 10. DISCORD ACCESS 10.1 Membership access is tied to your Discord account and assigned roles within the Shaikh Trades Discord server. 10.2 You must comply with Discord's Terms of Service and Community Guidelines in addition to this Agreement. 10.3 Access is personal and non-transferable. Sharing login credentials, selling access, or permitting unauthorized users to enter paid channels is prohibited. 10.4 We may modify channel structure, roles, permissions, or community features at any time without liability. 10.5 Termination or expiration of your Subscription results in removal or downgrade of Discord roles and loss of access to paid areas. 11. COMMUNITY CONDUCT 11.1 You agree to participate respectfully and lawfully in all community spaces associated with the Service. 11.2 Prohibited conduct includes harassment, hate speech, threats, doxxing, spam, impersonation, promotion of illegal activity, unauthorized advertising, solicitation, sharing of pirated content, and disruption of live sessions. 11.3 You may not post Content from the Service in public forums, social media, group chats, or third-party platforms without prior written permission. 11.4 Moderators may warn, mute, restrict, or permanently remove Members who violate community standards or this Agreement. 12. INTELLECTUAL PROPERTY 12.1 All Content, branding, trademarks, trade names, logos, course structure, website design, and proprietary tools are owned by Yusuf Shaikh or licensed to Shaikh Trades and are protected by copyright, trademark, and other intellectual property laws. 12.2 Your Membership grants a limited, personal, non-exclusive, non-transferable, revocable license to access Content for your own private educational use only. 12.3 No ownership interest in any Content or software is transferred to you. See the EULA for additional software licensing terms. 12.4 Unauthorized reproduction, distribution, public display, derivative works, scraping, or commercial exploitation of Content is strictly prohibited. 13. CONFIDENTIALITY 13.1 Paid Content is confidential and proprietary. You agree to keep all non-public materials, methods, tools, recordings, and community discussions confidential. 13.2 You may not record, screenshot, screen-share, republish, resell, or disclose paid Content except as expressly permitted in writing. 13.3 Breach of confidentiality may result in immediate termination, permanent ban, and pursuit of available legal remedies. 14. BOT AND INDICATOR ACCESS 14.1 Certain Membership tiers may include access to bots, indicators, scripts, alerts, or automation tools ("Tools"). 14.2 Tools are licensed, not sold. Access may require additional platform accounts, permissions, or technical setup on your side. 14.3 Tools are provided without guarantee of uptime, accuracy, compatibility, or profitability. You use Tools at your own risk. 14.4 Reverse engineering, copying, sublicensing, or redistributing Tools is prohibited. Termination of Membership ends your license to use Tools. 15. SUPPORT LIMITS 15.1 Support is limited to account access, billing inquiries, and general platform assistance through designated channels. 15.2 We do not provide individualized trading support, trade validation, position review, tax advice, legal advice, or emergency financial guidance. 15.3 Response times are not guaranteed. Support may be unavailable during maintenance, holidays, or high-volume periods. 15.4 Abuse of support channels, excessive demands, or hostile communication may result in restricted support or termination. 16. SERVICE AVAILABILITY 16.1 The Service is provided on an "as is" and "as available" basis without guaranteed uptime or uninterrupted access. 16.2 We may modify, suspend, or discontinue any feature, channel, tool, or Content at any time with or without notice. 16.3 Scheduled or unscheduled maintenance, third-party outages (including Discord or Stripe), internet failures, and technical issues may affect availability. 16.4 No credit, refund, or extension is owed for temporary or permanent unavailability except as expressly stated in this Agreement. 17. LIMITATION OF LIABILITY 17.1 To the fullest extent permitted by applicable law, Shaikh Trades, Yusuf Shaikh, and any affiliates, contractors, moderators, or contributors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages. 17.2 We are not liable for trading losses, lost profits, lost data, business interruption, reputational harm, or damages arising from reliance on Content or Tools. 17.3 Our total aggregate liability arising out of or relating to the Service shall not exceed the amount you paid to Shaikh Trades in the twelve (12) months preceding the event giving rise to the claim. 17.4 Some jurisdictions do not allow certain limitations; in those cases, liability is limited to the maximum extent permitted by law. 18. INDEMNIFICATION 18.1 You agree to indemnify, defend, and hold harmless Shaikh Trades, Yusuf Shaikh, and related parties from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your trading activity or financial decisions; (c) your violation of this Agreement; (d) your infringement of third-party rights; (e) unauthorized sharing of Content or account access; or (f) false or fraudulent chargeback or payment dispute activity. 19. DISPUTE RESOLUTION 19.1 Before initiating formal proceedings, you agree to contact us at ysfalishaikh@gmail.com and attempt in good faith to resolve the dispute within thirty (30) days. 19.2 Except where prohibited by law, any dispute not resolved informally shall be brought exclusively in the courts located in Ontario, Canada. 19.3 You waive any objection to venue or forum non conveniens in Ontario courts, to the extent permitted by law. 19.4 Nothing in this section prevents either party from seeking injunctive or equitable relief for intellectual property violations or confidentiality breaches. 20. GENERAL PROVISIONS 20.1 Entire Agreement. This Agreement, together with incorporated policies, constitutes the entire agreement between you and Shaikh Trades regarding the Service. 20.2 Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force. 20.3 Waiver. Failure to enforce any provision is not a waiver of future enforcement. 20.4 Assignment. You may not assign your rights or obligations without our prior written consent. We may assign this Agreement in connection with a reorganization, sale, or platform migration. 20.5 No Third-Party Beneficiaries. This Agreement is for the benefit of the parties only. 21. ELIGIBILITY 21.1 You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, whichever is greater. 21.2 You must have legal capacity to enter a binding contract and must not be prohibited from using the Service under applicable law. 21.3 The Service is not directed to residents of jurisdictions where access would violate local law. You are responsible for determining whether your use is lawful in your location. 21.4 By subscribing, you represent that all registration and billing information you provide is accurate and current. 22. JURISDICTION AND GOVERNING LAW 22.1 Ontario law governs this Agreement. 22.2 Subject to Section 19, the courts of Ontario, Canada have exclusive jurisdiction over disputes arising from or relating to this Agreement or the Service. 22.3 The United Nations Convention on Contracts for the International Sale of Goods does not apply. 23. ACCOUNT SECURITY 23.1 You are responsible for safeguarding your Discord account, email account, payment credentials, and any devices used to access the Service. 23.2 You must notify us promptly of any suspected unauthorized access, credential compromise, or account sharing. 23.3 We are not responsible for losses arising from your failure to maintain adequate account security. 23.4 We may suspend access pending investigation of suspected compromise or abuse. 24. FRAUD PREVENTION 24.1 We may use billing data, Discord identifiers, IP information, device signals, and usage patterns to detect fraud, abuse, and unauthorized sharing. 24.2 Prohibited activities include using stolen payment methods, creating duplicate accounts to exploit promotions, reselling access, and circumventing access controls. 24.3 Confirmed or suspected fraud may result in immediate termination, reporting to payment processors, and preservation of evidence for legal action. 25. AFFILIATE CONDUCT 25.1 From time to time, affiliates, partners, or promoters may refer Subscribers to Shaikh Trades under separate arrangements. 25.2 Affiliates may not make guaranteed profit claims, personalized advice representations, or statements inconsistent with this Agreement. 25.3 Shaikh Trades is not responsible for unauthorized statements made by third parties outside official Service channels. 25.4 Promotional materials must accurately describe the Service as educational only and must not imply advisory or managed-account services. 26. FOUNDING MEMBER PRICING 26.1 Founding Member pricing is a limited promotional rate offered at the Operator's discretion for a defined enrollment window. 26.2 Founding Member status applies only while the qualifying Subscription remains active and in good standing under the original promotional terms. 26.3 If a Founding Member cancels and later re-subscribes, current standard pricing applies unless expressly approved in writing. 26.4 Founding Member benefits may include locked pricing, special roles, or access to designated channels, as described at enrollment. Benefits may be modified for future billing cycles only where permitted at signup and required by law. 27. ANNUAL PLANS 27.1 Annual Subscriptions are billed in advance for a twelve (12) month term unless otherwise stated at checkout. 27.2 Annual plans renew automatically at the then-current annual rate unless cancelled before the renewal date. 27.3 All sales are final once payment is made and access is granted. Cancellation stops future billing only. 27.4 Switching from monthly to annual billing or vice versa is subject to checkout rules in effect at the time of change and does not create retroactive credits. 28. TAXES 28.1 Fees displayed at checkout may exclude applicable sales tax, harmonized sales tax (HST), goods and services tax (GST), or other governmental charges. 28.2 You are responsible for any taxes associated with your purchase except where we are legally required to collect and remit them. 28.3 Tax treatment of trading activity in your personal accounts is your responsibility. We do not provide tax advice. 29. EVIDENCE AND RECORDS 29.1 We maintain records of purchases, subscription status, Discord role assignments, access timestamps, and relevant communications for billing, security, and dispute resolution. 29.2 You consent to our use of such records as evidence of service delivery in connection with payment disputes, chargebacks, and enforcement actions. 29.3 Records may include login events, role grants, content access logs, support correspondence, and Payment Processor confirmations. 30. PLATFORM MIGRATION 30.1 We may migrate the Service to new websites, community platforms, payment systems, or tool providers to improve security, performance, or functionality. 30.2 Reasonable notice will be provided when migration requires action by Subscribers, such as re-authentication or accepting updated terms. 30.3 Continued use after migration constitutes acceptance of the updated delivery method unless you cancel in accordance with this Agreement. 31. FORCE MAJEURE 31.1 We are not liable for delay or failure to perform due to events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, internet or utility failures, platform outages, cyberattacks, or failures of third-party providers. 31.2 Performance shall be excused for the duration of the force majeure event, and timelines will be extended accordingly. 32. POLICY UPDATES 32.1 We may update these Terms, the Privacy Policy, Refund Policy, EULA, and community rules from time to time. 32.2 Material changes will be communicated through the website, email, Discord announcement, or checkout flow where practicable. 32.3 The "Effective Date" and version number at the top of this document indicate the current revision. Version 8.0 supersedes prior versions, including those issued under the Shaikh Options name. 33. DIRECT MESSAGE BOUNDARIES 33.1 Paid Membership does not entitle you to unlimited private direct messages with Yusuf Shaikh or staff. 33.2 Direct messages are for administrative or support matters only unless a separate paid offering expressly provides otherwise. 33.3 Unsolicited requests for trade advice, portfolio review, urgent market commentary, or personal coaching via DM are outside the scope of the Service and may be ignored or redirected. 33.4 Harassing, threatening, or abusive DMs may result in termination without refund. 34. LIVE SESSION RULES 34.1 Live sessions, voice channels, and real-time events are educational forums, not personalized advisory sessions. 34.2 Participants must not record, restream, or redistribute live sessions unless expressly authorized. 34.3 Disruptive behavior, spam, unauthorized promotion, or requests for individualized trade instructions may result in removal from the session and further disciplinary action. 34.4 Session schedules, topics, and formats may change without notice. 35. RECORDED SESSIONS 35.1 Recordings of live sessions, replays, and archived content remain proprietary Content subject to the same confidentiality and licensing restrictions. 35.2 Access to recordings may be time-limited, tier-limited, or removed as the Service evolves. 35.3 Downloading, ripping, mirroring, or sharing recordings outside authorized channels is prohibited. 36. MEMBER RESULTS AND TESTIMONIALS 36.1 Any member results, testimonials, profit screenshots, or success stories shared in the Service or marketing materials reflect individual experiences and are not typical or guaranteed. 36.2 We do not verify every member claim and do not represent that subscribers will achieve similar outcomes. 36.3 You must not misrepresent your own results when discussing the Service publicly or within the community. 37. NO RESALE OR REDISTRIBUTION 37.1 You may not sell, lease, sublicense, gift, barter, or otherwise transfer Membership access or Content. 37.2 Group buys, account pooling, credential sharing, and "pass-through" access arrangements are prohibited. 37.3 Public posting of paywalled materials, signal forwarding, or operation of mirror communities using our Content is a material breach. 38. REMEDIES FOR BREACH 38.1 Upon breach of this Agreement, we may immediately suspend or terminate your Membership without refund. 38.2 Available remedies include revocation of Discord roles, termination of Tool licenses, permanent bans, demand for injunctive relief, and recovery of damages and enforcement costs. 38.3 Repeated or egregious violations may be referred to payment processors, platforms, and legal counsel. 39. CHARGEBACK EVIDENCE 39.1 Filing a chargeback or payment dispute after access has been granted is treated as a breach of this Agreement. 39.2 We may submit evidence to the Payment Processor including subscription records, checkout acceptance, Discord role assignment timestamps, login or access logs, IP data, and communications confirming delivery. 39.3 Successful or attempted chargebacks may result in permanent account closure and prohibition from future enrollment. 40. SURVIVAL 40.1 The following sections survive termination or expiration of your Membership: Definitions (as needed for interpretation), Education-Only Service, No Advisory Relationship, Independent Trading, Options and Trading Risk, Past Performance Disclaimer, No Refunds, Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, Dispute Resolution, Jurisdiction and Governing Law, Evidence and Records, Chargeback Evidence, Remedies for Breach, and Survival. 40.2 Termination does not relieve you of payment obligations accrued before termination or liability for prior breaches.
